Urban Company Board Approves Rs 2,500 Cr Fundraise Proposal

Urban Company Board Approves Rs 2,500 Cr Fundraise Proposal

Urban Company’s board has approved a proposal to raise up to Rs 2,500 Cr, alongside approving the company’s financial performance for the September quarter. The proposed fundraise may involve the issuance of equity shares, warrants, fully convertible debentures and convertible preference shares.

The fundraise will be carried out in one or more tranches through preferential allotment, private placement or one or more qualified institutional placements (QIPs), subject to shareholder approval. The final issue pricing and structure have not yet been determined.

In a letter to shareholders, Urban Company said the proposed fundraise would provide flexibility to invest across its businesses, strengthen its position in InstaHelp and selectively pursue inorganic opportunities.

“The business is materially larger than at listing, growth has stepped up, and we now operate three businesses at scale with proven economics. The proposed raise of up to Rs 2,500 Cr is about flexibility: it lets us invest with conviction across each of them, cement leadership in InstaHelp, and pursue inorganic opportunities selectively, without trading off one for another,” the company said.

InstaHelp Competition and Rising Losses

The fundraise proposal comes as Urban Company’s quick home services vertical, InstaHelp, faces competition from Snabbit and Pronto. The competitive environment has raised the prospect of a market share battle driven by cash burn.

Heavy investments in the quick home services vertical are also affecting the company’s profitability. In the September quarter, Urban Company’s net loss more than tripled year-on-year (YoY) to Rs 182.5 Cr, while operating revenue increased 41% YoY to Rs 537.29 Cr.

On a quarterly basis, the company’s net loss nearly doubled from Rs 92.1 Cr. Operating revenue remained nearly flat compared with Rs 528.3 Cr in Q1 FY27.

Urban Company’s adjusted EBITDA loss widened to Rs 144 Cr during the quarter, primarily due to what the company described as a “deliberate” investment of Rs 174 Cr in InstaHelp.

The company also outlined its targets for improving profitability. “We remain on track for Adjusted EBITDA breakeven by Q3 FY28 and Adjusted EBITDA of Rs 1,000 Cr by FY31,” it said.

Urban Company Explores Residential AC Category

Separately, Urban Company’s board granted in-principle approval to explore residential air conditioners as a new business category under its product brand Native. The proposal remains subject to further evaluation and final board clearances.

The board said the category represents a large market in which the company already services millions of units annually, giving it first-hand insights into existing product gaps and customer needs.

Listed Startup Funding Trends

Urban Company made its stock market debut around one year ago. Its proposed fundraise places it among new-age technology companies such as Kissht, Swiggy, Ather Energy and Ola Electric that have sought to return to public markets for additional capital soon after their initial public offerings (IPOs).

The proposed Rs 2,500 Cr raise is intended to provide Urban Company with flexibility to invest across its businesses, strengthen InstaHelp and selectively pursue inorganic opportunities, subject to the required approvals.
